EditPilot for Resolve — Terms of Service

These Terms are an agreement between you and Nebula36 Technologies LLC (San Marcos, Texas, United States - our full postal address is published here when EditPilot goes on sale, "we", "us") covering your use of the EditPilot for Resolve software ("EditPilot"), your EditPilot account, and the plans we offer. By creating an account or using EditPilot, you agree to them. If you use EditPilot for a company, you confirm you can bind it to these Terms, and "you" includes it.

Our Privacy Policy (privacy.html) explains how we handle personal information and forms part of these Terms.

1. What EditPilot is

EditPilot is software for Windows that works alongside DaVinci Resolve. It analyzes your footage on your computer and prepares edits, graphics, color and other results for you to bring into Resolve.

EditPilot is an independent product and is not affiliated with, endorsed by, or sponsored by Blackmagic Design Pty Ltd. DaVinci Resolve is a trademark of Blackmagic Design Pty Ltd. You need your own copy of DaVinci Resolve, under Blackmagic Design's own terms. EditPilot requires DaVinci Resolve 20.0 or newer and is tested on version 21.1; we cannot promise it will work with versions Blackmagic releases in future, though we aim to keep it working.

2. Your account

• You need an account to use EditPilot, on any plan.
• You must be at least 13 (or older where the law in your country sets a higher age for using online services), and old enough to make a contract where you live to buy a paid plan.
• Give accurate information and keep your password to yourself. You are responsible for what happens under your account.
• An account is for one person. It is meant to be signed in on up to three computers; EditPilot shows you where it is signed in and lets you sign other computers out.

3. Plans and prices

Prices are in US dollars and exclude any tax the seller adds. What each plan includes is shown on our website and in EditPilot, and may change as features are added, improved or withdrawn.

There are no AI credits and no per-minute AI charges. Features run on your own computer. If you choose to connect your own AI service (section 8), that service bills you directly at its own rates; we never charge for it.

4. Buying, renewing and canceling

• Paid plans are sold by Gumroad — including purchases made through our website — or by aescripts. The seller takes your payment, handles sales tax and VAT, and its own terms apply to the purchase itself.
• EditPilot Pro starts with a 14-day free trial. You give the seller your payment details when the trial starts and are not charged until it ends. Cancel with the seller before the 14 days are up and you pay nothing. Canceling during the trial does not end it early: Pro keeps working until the last day of the 14, and only then do the paid features stop. When the trial ends without being canceled, the Pro plan you chose begins at its price and renews until you cancel. There is one trial per customer, and the trial is Pro: a Basic plan begins when you subscribe to it.
• Monthly and yearly plans renew automatically at the end of each period until you cancel. You can cancel any time with the seller; your plan stays active until the end of the period you have paid for.
• When a trial or subscription ends without renewing, you are not locked out. Your account keeps a limited set of everyday editing tools at no charge: silence, filler-word and custom-word removal, transcripts and chapters, plain captions, basic resizing, the built-in presets and the asset library. The other tools return when you subscribe again, and nothing you have made is affected.
• If we change a plan's price, we will tell you at least 30 days before the change affects a renewal, and you can cancel before it does.
• If a payment is refunded, charged back or fails, the paid features of that plan stop, and you keep the same limited set of tools described above.

5. Refunds

You can get a full refund within 14 days of the first payment for your plan. After that, payments are not refunded, and we do not refund the unused part of a month or a year, except where the law requires it.

• A free trial is not a payment. The 14 days start from your first charge.
• Refunds are made by Gumroad, which took your payment, to the way you paid. Ask through your Gumroad receipt, or email support@editpilotdavinci.com.
• A refund ends the paid plan it refunds.
• If you are a consumer in the EU or UK, you may have a legal right to withdraw from a purchase of digital services within 14 days. This policy gives you at least that.

6. Your license to use EditPilot

EditPilot is licensed to you, not sold. While your account is in good standing, we give you a personal, non-exclusive, non-transferable license to install and use EditPilot for the features of your plan, for personal or commercial work.

You may not: resell, rent or sublicense EditPilot; share an account or license between people; copy it other than to install it; reverse-engineer it except where the law allows despite this term; remove notices; or get round its licensing or plan limits.

We own EditPilot — its code, design, artwork, branding and documentation. These Terms give you no other rights in it.

7. Your work is yours

You own your footage, your projects and everything you make with EditPilot, including for commercial use. We claim no ownership of it and no license to it. EditPilot processes your media on your computer; we never receive it.

You are responsible for your content and for having the rights to it. In particular:

• You must have all the rights and permissions you need for the footage, music and other material you use.
• Where EditPilot works with people's faces, voices or performances — for example lip-sync timing, face-follow or beauty features — you must have the permission of the people shown. You must not use EditPilot to impersonate a real person, or to make misleading content attributed to one.
• You must use EditPilot lawfully, and not to create content that is unlawful, harassing, or infringes anyone's rights.

We may refuse support for use that appears to break this section.

8. Other companies' software and services

• Third-party components. EditPilot includes and downloads open-source software and AI models from other makers — including FFmpeg — each under its own license. Those licenses are listed in EditPilot and Open-source licenses, and where a license gives you rights (for example to obtain source code), you have them. We use no component whose license forbids commercial use of your results.
• Downloads. Some features download files from their makers' servers the first time you use them. Those servers are run by those companies, not us.
• Connecting your own AI. If you connect a service such as OpenAI or Anthropic, you do so under your own agreement with that service, using your own key, and it bills you directly. Information EditPilot sends it (such as your transcript) goes from your computer straight to that service. We are not responsible for that service, its charges, or how it handles your information. EditPilot works fully without it.

9. Changes to EditPilot

We improve EditPilot over time, and may add, change or withdraw features. If we withdraw a feature that was a main reason you bought a paid plan, contact us and you can cancel so you are not charged again, and you keep everything else in your plan until the end of the period you already paid for. Some features may be marked as preview; they may change more and may not work as well.

EditPilot may need updates to keep working, including with new versions of DaVinci Resolve.

10. Suspension and ending these Terms

You can stop using EditPilot and ask us to delete your account at any time.

We may suspend or close your account if you seriously or repeatedly break these Terms, if we must by law, or to protect EditPilot, other customers or us — and we will tell you why unless the law or safety prevents it. If we close a paid account without you having broken these Terms, you keep access until the end of the period you already paid for and are not charged again. If we cannot give you that, we will refund the unused part of that period.

If we stop offering EditPilot. We would stop selling new plans and stop renewing existing ones, but nobody loses time they have paid for: EditPilot keeps working for you until the end of the month or year you already paid for. We would tell you by email and in the app first.

Sections 6 (the restrictions), 7, 11, 12 and 14 continue after these Terms end.

11. Disclaimers

We work hard to make EditPilot reliable, but it is provided "as is" and "as available". To the extent the law allows, we make no warranty that it will be error-free, uninterrupted, or suitable for a particular purpose, or that its results will be what you expect. Always keep backups of your footage and projects, and review EditPilot's results before you publish them.

EditPilot never changes your original media files or your existing Resolve timelines — it creates new ones — but you remain responsible for your own backups.

Nothing in these Terms removes rights you have by law as a consumer that cannot be removed.

12. Limit on our liability

To the extent the law allows:

• we are not liable for lost profits, revenue, data or goodwill, or for indirect or consequential losses; and
• our total liability to you for anything arising from EditPilot or these Terms is limited to a prorated refund of the unused part of the period you most recently paid for.

These limits do not apply to liability that cannot be limited by law, such as for death or personal injury caused by negligence, or fraud.

13. Changes to these Terms

We may update these Terms. For significant changes we will tell you in EditPilot or by email at least 30 days before they take effect. If you do not agree, you can cancel before then; continuing to use EditPilot after they take effect means you accept them.

14. Law and disputes

These Terms are governed by the laws of the State of Texas, United States, and disputes will be decided by the state or federal courts for the Texas county in which our business address (above) is located — except that if you are a consumer, you keep the protection of the laws, and can use the courts, of where you live. If you have a problem with EditPilot, please email us first at support@editpilotdavinci.com. We will try to put it right within 30 days, and both of us agree to try that before going to court.

15. General

These Terms, with the Privacy Policy, are the whole agreement between us about EditPilot. If part of them is unenforceable, the rest still applies. If we do not enforce a term straight away, we have not given it up. You may not transfer these Terms; we may transfer them to a successor to our business.
